Terms of Service
These Terms of Service (the “Terms”) are a binding agreement between Kaligon Ltd, a company incorporated in the State of Israel (company no. 515713865), with its registered office at Yaakov St 26, Rehovot, 7626237, Israel (“Kaligon”, “we”, “us”), and the person or entity that creates an account or uses the Services (“you”, “Customer”). By creating an account or using Kaligon Cloud, you agree to these Terms. If you are entering into them on behalf of an organization, you represent that you are authorized to bind it.
1. Definitions
“Services” means the Kaligon Cloud platform, website, APIs, and related documentation and support. “Customer Content” means data, software, and other materials you upload to or run on the Services. “Account” means your Kaligon registration. “AUP” means the Acceptable Use Policy in Section 5.
2. Eligibility and account
You must be at least 18 (or the age of majority where you live) and able to form a binding contract. You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your Account. Notify us promptly at hello@kaligon.cloud of any unauthorized use.
3. The Services
The Services are intended for business and professional use and are not directed to consumers. We provide on-demand compute, storage, networking, and related infrastructure. We may add, modify, or discontinue features; for material adverse changes to generally available features we will give reasonable prior notice. Features labeled beta, preview, or alpha are provided “as is”, may change or be withdrawn, and are excluded from any service-level commitment.
4. Your responsibilities
You are responsible for your Customer Content, for the configuration and security of the resources you run (including operating systems, applications, access controls, and backups), and for obtaining all rights and consents needed for your use of the Services. We provide the infrastructure; securing what you build on it is your responsibility.
5. Acceptable Use Policy
You may not use the Services to: violate any law or third-party right; operate phishing or fraud infrastructure; host or distribute malware, or child sexual abuse material; send unlawful spam; conduct unauthorized scanning, penetration, or denial-of-service activity; run unattended or covert cryptocurrency mining; infringe intellectual property; or otherwise cause harm or degrade the Services for others. We may remove infringing content and will suspend or limit accounts engaged in ongoing harm, as described in Section 10.
6. Fees, billing, and taxes
Resources are billed by the second of usage, with a per-resource monthly cap equivalent to 730 hours; rates are quoted per hour for clarity. You authorize us (and our payment processor, Stripe) to charge your payment method on a monthly cycle and for any outstanding balance. Fees are exclusive of taxes; you are responsible for applicable taxes, and Israeli Value Added Tax (VAT) will be added where required by law. Late or failed payments may incur interest and lead to suspension. Refunds are issued at our discretion for verified service unavailability and, for unused prepaid credits, within 14 days of a closure request, except where prohibited by law.
7. Service levels and support
We target 99.9% monthly availability for production regions and publish historical status at /status. Service credits and a full service-level addendum are available on request for eligible accounts. Standard support is provided by email and the panel; included support carries no additional fee.
8. Customer Content and data protection
As between the parties, you own all Customer Content. You grant us only the limited rights needed to operate and provide the Services. We do not access, copy, use for training, or disclose Customer Content except as needed to provide the Services, to comply with law, or to investigate suspected AUP violations, and we access support-related data only with your consent. Our processing of personal data within Customer Content is governed by our Privacy Policy and our Data Processing Addendum, which applies whenever we process personal data on your behalf and reflects Article 28 of the GDPR.
9. Intellectual property
We retain all rights in the Services, our software, and our trademarks. Except for the limited right to use the Services under these Terms, nothing here grants you any right in our intellectual property. You retain all rights in Customer Content.
10. Suspension
We may suspend or limit the Services (in whole or part) if we reasonably believe it is necessary to prevent ongoing harm, security risk, or legal violation, or for overdue payment. Where practical we will give notice and an opportunity to cure; for active, serious harm we may act without prior notice and notify you promptly thereafter.
11. Term and termination
These Terms apply while you use the Services. You may close your Account at any time from the panel. We may terminate for material breach (including AUP violations) or for non-payment after at least 14 days’ notice. On termination we will, unless retention is required by applicable law, delete your Customer Content within 30 days; you are responsible for exporting anything you wish to keep before closure.
12. Warranties and disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and “as available”, and to the maximum extent permitted by law we disclaim all other warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the Services is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits or excludes either party’s liability for willful misconduct or gross negligence, for death or personal injury caused by negligence, or for any other liability that cannot be limited or excluded under applicable law.
14. Indemnification
You will defend and indemnify Kaligon against third-party claims and related losses arising from your Customer Content, your use of the Services in breach of these Terms or the AUP, or your violation of law or third-party rights.
15. Export controls and sanctions
You must comply with all applicable export-control and economic-sanctions laws, including those of Israel and any other jurisdiction that applies to you, and you may not use the Services if you are subject to such sanctions or located in an embargoed territory.
16. Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) due to events beyond its reasonable control, including natural disasters, war, civil unrest, labor disputes, utility or network failures, and acts of government.
17. Governing law and jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-laws rules. The competent courts of Tel Aviv-Yafo, Israel, will have exclusive jurisdiction over any dispute, and each party consents to that jurisdiction and venue.
18. Changes to these Terms
We may update these Terms. We will post the revised version here and, for material changes, notify account holders by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
19. General
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy and any order or addendum, are the entire agreement between the parties regarding the Services.
